Sukikoo terms of service

Welcome to Sukikoo. These Terms of Service ("Terms") govern your access to and use of the Sukikoo platform and services, including our mobile application, website, and any associated features (collectively, the "Platform"). These Terms apply to both Users (individuals using Sukikoo to send boxes or documents) and Vendors (businesses providing services through the Sukikoo platform).

By using our Platform, you agree to be bound by these Terms. If you do not agree, you may not use Sukikoo.

1. Definitions

  • User: Any individual who uses Sukikoo to request or manage shipping, logistics, or document handling services.
  • Vendor: A registered business providing logistics, shipping, or documentation services through the Sukikoo Platform.
  • Sukikoo: Sukikoo Portal LLC, licensed in the UAE under license number 1438365, headquartered at RAG Business Centre, Sheikh Zayed Road, Dubai.

2. Eligibility

Users must be 18 years of age or older to use the Platform. Vendors must be legally registered entities, authorized to operate within the UAE or other approved service regions.

3. User responsibilities

  • Provide accurate personal and shipping information.
  • Pay for services promptly as required.
  • Refrain from sending any illegal, restricted, or prohibited items.
  • Follow all instructions from the Vendor and Platform for packaging and delivery.

4. Vendor responsibilities

  • Fulfill orders reliably and professionally.
  • Maintain updated business and service information.
  • Adhere to all applicable laws, including customs and shipping regulations.
  • Ensure quality, timely service and address any disputes with Users promptly.

Vendors are also bound by Sukikoo’s separate Vendor Agreement, which governs their commercial, operational, and legal obligations. In case of conflict between these Terms and the Vendor Agreement, the Vendor Agreement shall prevail for Vendors.

5. Payment terms

  • Users will pay Sukikoo at the time of service initiation. An itemized invoice or payment confirmation will be provided at checkout.
  • All displayed prices include applicable VAT, where required by law.
  • Vendors will be paid out by Stripe Connect after Sukikoo deducts its platform commission.
  • Sukikoo is not responsible for delays caused by Stripe or other financial processors.

6. Disputes and refunds

Disputes must be raised within 7 days of service completion through the in-app support feature or by contacting customer service. Sukikoo aims to respond to all disputes within 3 business days. Refunds may be issued on a case-by-case basis at the sole discretion of Sukikoo.

6A. Cancellation & refund policy

Users may cancel an order at any time before it has been assigned to a delivery driver. Once an order is in transit or assigned to a vendor for pickup, cancellations are no longer permitted.

Refunds for cancelled orders will be reviewed and processed manually by Sukikoo’s operations team in coordination with the relevant vendor. Refund eligibility, applicable fees, and timelines will be clearly communicated to the User during the cancellation process.

Sukikoo reserves the right to deny refund requests in cases of:

  • Repeated or abusive cancellations
  • Service misuse or fraudulent activity
  • Non-compliance with the Terms of Service

In future platform updates, Sukikoo may introduce automated refund handling and fund holds prior to vendor disbursements. Any changes to the refund process will be reflected in updated Terms.

7. Platform usage

Users and Vendors must not misuse the Platform, including but not limited to attempting unauthorized access, uploading malicious software, spamming other users, impersonating others, or engaging in any unlawful, deceptive, or abusive activities.

8. Termination

Sukikoo may suspend or terminate access to the Platform for violations of these Terms or any conduct deemed harmful, abusive, or non-compliant.

9. Intellectual property

All content on the Platform is the property of Sukikoo or its licensors. You may not copy, modify, or distribute any part of the Platform without permission.

10. Limitation of liability

Sukikoo is not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, business, or data. Sukikoo does not guarantee uninterrupted access to the Platform.

To the fullest extent permitted by law, Sukikoo’s total liability to any user or vendor shall not exceed the total value of the services purchased by the user in the 3 months preceding the claim.

11. Data privacy

We collect and use your data in accordance with our Privacy Policy. By using the Platform, you consent to this collection and use. Sukikoo complies with applicable UAE data protection laws, and where applicable, international standards such as the GDPR.

12. Governing law

These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates. Disputes shall be subject to the exclusive jurisdiction of the Dubai Courts.

13. Amendments

Sukikoo may modify these Terms at any time. Continued use of the Platform indicates acceptance of the revised Terms.

14. User conduct

Users agree not to abuse, threaten, or harass vendors or Sukikoo staff. Any fraudulent behavior, misuse of promotions, or creation of multiple accounts to exploit the platform may result in account suspension or legal action.

15. Force majeure

Sukikoo shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, government actions, strikes, internet outages, or public health emergencies.

16. Third-party services

Sukikoo acts as a platform to connect users with independent vendors. Sukikoo does not guarantee, supervise, or insure vendor performance, delivery, or handling of goods or documents. Users acknowledge that all services are fulfilled by third-party vendors and proceed at their own risk.

16A. Vendor fraud and business continuity

Sukikoo is not liable for any losses, damages, or claims resulting from a Vendor's fraudulent activity, business failure, insolvency, or inability to fulfill services. Users acknowledge that Sukikoo does not guarantee the financial viability or conduct of any Vendor.

Sukikoo may, at its sole discretion, take action against Vendors who breach the Vendor Agreement, but is not responsible for mediating disputes or compensating Users for Vendor-related issues.

17. Acceptance of terms

By creating an account or using the Sukikoo platform, you confirm that you have read, understood, and agreed to these Terms of Service and Sukikoo’s Privacy Policy.

18. Prohibited items

Users must not use the Platform to send goods or documents that are illegal, restricted, or prohibited under UAE law or the laws of the destination country. This includes, but is not limited to:

  • Narcotics
  • Counterfeit goods
  • Flammable or hazardous materials
  • Weapons
  • Human remains
  • Personal identification documents not lawfully owned by the user

Sukikoo reserves the right to suspend accounts or alert authorities in the event of non-compliance.

19. Service availability & modification

Sukikoo reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice.

While we strive for continuous uptime, we do not guarantee that all features will always be available or free from errors. Planned maintenance or updates may result in temporary unavailability.

Sukikoo shall not be held liable for any loss, delay, or disruption resulting from downtime or platform inaccessibility, whether caused by scheduled maintenance, technical issues, or third-party service providers.

20. Feedback and suggestions

If you submit feedback, ideas, or suggestions to Sukikoo, you grant us the right to use, reproduce, and commercialize that feedback without restriction or compensation. You agree that Sukikoo is under no obligation to implement such feedback.

21. Communications & notifications

By using the Platform, you consent to receive communications from Sukikoo electronically, including via email, SMS, mobile notifications, or in-app messaging.

These communications may include service updates, policy changes, or promotional materials. You may opt out of non-essential communications at any time.

22. Severability

If any part of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

23. Entire agreement

These Terms, together with Sukikoo’s Privacy Policy and Vendor Agreement (where applicable), constitute the entire agreement between the parties and supersede any prior agreements or understandings, whether written or oral.

24. Account security

You are responsible for maintaining the confidentiality of your account credentials. Sukikoo is not liable for any loss or damage arising from unauthorized access due to your failure to protect your login information.

You agree to notify us immediately if you suspect unauthorized access.

25. No agency or partnership

Nothing in these Terms shall be construed to create a partnership, agency, employment, or joint venture relationship between Sukikoo and any User or Vendor. Vendors operate as independent third parties.

26. Additional terms or appendices

Some services may be subject to additional terms, policies, or service-specific agreements which will be presented at the time of use or onboarding. In case of conflict, such additional terms shall govern for those specific services.

27. Compliance with UAE law

All users and vendors agree to comply with applicable laws and regulations of the United Arab Emirates, including but not limited to:

  • UAE Federal Decree-Law No. 34 of 2021 on Combatting Rumors and Cybercrimes
  • UAE Consumer Protection Law (Federal Law No. 15 of 2020)
  • UAE E-Commerce Law (Federal Law No. 1 of 2006)
  • Data Protection regulations under the UAE Cabinet Resolution No. 21 of 2022
  • Any applicable laws relating to shipping, customs, commercial transactions, and VAT

Sukikoo reserves the right to report any suspected illegal activities to the relevant UAE authorities and may cooperate with law enforcement or regulatory bodies where required.

28. Governing jurisdiction

This Agreement shall be governed exclusively by the laws of the United Arab Emirates. Sukikoo and all parties agree that any disputes arising under these Terms shall be resolved in the courts of the Emirate of Dubai, United Arab Emirates.

Proceedings shall be conducted in the English language.

29. Content submissions

By posting or uploading any content through the Platform, including text, images, or reviews, you grant Sukikoo a non-exclusive, royalty-free, worldwide, and perpetual license to use, modify, reproduce, and display such content for marketing, operational, and promotional purposes.

30. Survival

Any provisions of these Terms which by their nature should survive termination shall continue in full force and effect, including but not limited to limitations of liability, indemnity, dispute resolution, and governing law.

34. Vendor communication policy

To maintain integrity and ensure fairness across the Sukikoo Platform, Vendors are strictly prohibited from initiating or engaging in communication with Customers outside of Sukikoo's official communication tools.

This includes sharing or requesting phone numbers, email addresses, or any personal contact details with the intent of transacting outside the Platform.

Vendors must use only the in-app messaging system and Sukikoo-approved channels for all communications.

Any attempt to bypass the Platform to complete services, accept payments, or establish a direct business relationship with Customers outside of Sukikoo will be deemed a material breach of this Agreement.

Violation of this clause may result in the immediate suspension or termination of the Vendor's account and potential legal or financial consequences, including but not limited to repayment of onboarding costs, commissions lost, and damages to Sukikoo’s reputation and operational trust.
